  2. BIRMINGHAM, ENGLAND - 

     

    Heads were turned in the hockey world yesterday as an old agency rumored to be defunct made the surprise announcement that they were taking on a new player. The Will Agency (WA), an old agency that represented previously a couple of high profile players before hitching their wagon to a series of relative failures, announced yesterday that they would be representing up-and-comer Tommy Shelby of Birmingham. 

     

    In a statement to press, WA spokesperson Robert Roberts had this to say:

     

    "We're pleased to make a return to the VHL landscape. On account of our disgust with the poor performance of our most recent client, we needed to take some time to regroup as an organization. We made the not so difficult decision to fire all of our scouts and spent the ensuing months investing heavily in AI and data analytics. Today we are confident that we are  the most cutting-edge and sophisticated agency in the market with 100% of our decisions being made by AI. We hope to make an impactful return to the league and our AI is confident that Tommy Shelby is the man to do it." 

     

    While it remains to be seen what kind of an impact the 22 year-old Tommy Shelby will have, the performance of  WA's more recent clients casts significant doubt on the agencies judgement. Let's have a look at WA's previous clients. 

     

    [The Original] Don Draper (S38) - A chronic underachiever that never won a cup and whose only real accomplishment was a couple of Top Leader awards, Don Draper was a stalwart force on the Helsinki blue line for a few competitive seasons. 

     

    Aleksi Koponen (S45) - Aleksi Koponen was a tough 2-way forward who, unlike Draper, did manage to pick up some hardware. Koponen helped lead Helsink to back-to-back cups is Seasons 45 and 46. Later in his career, he led the league in points with Calgary in Season 51.

     

    John Locke (S53) - Known for not spending much time training, John Locke somewhat ironically became WA's greatest success and racked up an impressive awards cabinet. In the VHLM he led the league in Goals, Assists and Points in a single season. He earned Top Rookie upon his entry to the VHL and went on to win 4 Continental Cups with Riga and Helsinki. He led the league in goals twice and took home an MVP and a playoff MVP. 

     

    Ho Lee Fook (S54) - Ho Lee Fook had a long career, won a cup and put up some decent numbers....in the VHLM. He just never quite made it to the big leagues. 

     

    Will Clarke (S69) - A low impact player, Clarke managed to ride the coat tails of better players to win 3 Continental Cups with 3 different teams but spent most of his time on the bench and contributed little.  

     

    Commodus (S81)  - A total failure, Commodus played a season of VHLM in Yukon. During his time in the North, Commodus developed an irrational hatred of ice and determined he could never step foot in a rink again. 

     

    In time, we'll find out if Tommy Shelby will be a John Locke or a Commodus.

    We'll pay whatever we can directly through the paypal and I'll set up a thread in here for us to post details & support for anything other than hosting/IPB since we can easily get those invoices if we ever need them

    So one person should be the financial bearer (in Sask) for the organization as you'd be responsible for the organization/finances at a personal level. I'm sure other provinces are different, but it's not like we're really situated in one location so this becomes more confusing.


    That’s from a legal perspective though not a tax perspective, I have just been talking about tax. If we were ever sued for some reason then yeah there would be no formal organization to take on liability so it would have to be an individual, and yes I assume the accounts will have to be in someone’s name, basically the same as someone operating a sole proprietorship business. 
     

    But strictly as far as tax, it seems like we satisfy the requirements to be considered an unincorporated NPO by CRA which would mean the donations wouldn’t be taxable to whoever holds the account, that’s all I’m saying. And AFAIK CRA’s rules apply directly to every province except Alberta and Quebec who have their own tax agencies. 
     

    Beyond that I have no idea

    @sterlingis correct one of the main reasons for incorporation is to shift liability from an individual(s) to a corporation but it is a lot and I'm not really sure it's practical for our situation. We'd need article of incorporation drafted, by-laws drafted, someone or someones would ultimately have to be the shareholders, @Smarchis right it would need a head office address, presumably the home address of the shareholder. You would need a Board of Directors too but it's common for a board of directors to consist of a sole shareholder in holding company or something, you just have to have one. Overall it's probably just not advisable to do without a lawyer. 

     

    Then if we did get it done we'd instantly be required to file a corporate tax return annually (even as an NPO) so we'd either have to hire an accounting firm or buy corporate tax software. Plus annual registration fees. 

     

    I can't be 100% certain that my interpretation of Josh's post/CRA is right but at the end of the day, we're still dealing in very small numbers here. It's unlikely anything would ever come up as far as tax goes and if it did, i imagine our exposure would be pretty low. Honestly claiming naivety as a group of people playing virtual hockey might even get us a long way provided we have the records to show we weren't doing anything nefarious or intentionally skirting the rules. But it does seem to me that we're within the rules based on link above.

    Yeah that seems to confirm my understanding that we don’t HAVE to do anything other than ensure no individual is getting anything from it and that all of our funds are used for our pleasure/recreational purpose. 
     

    So yeah I think just opening a new PayPal is the would be the way to go. That would cover most of the record keeping on its own, the only thing we ought to be careful with is when we transfer stuff to people for things like YouTube ads or logos, we should be saving some kind of support for that stuff since it might just look like a payment to a random individual on PayPal. Im thinking of just having a thread in this forum to keep a record of stuff like that. 
     

    I mentioned to Beketov that I wouldn’t mind being the donation manger on the forum side, keeping records and posting a monthly reconciliation of the account balance or something similar. I don’t know who would be best to set up the account though.

  7. Based on what I can find I think we would qualify as a not-for-profit association/club, in which case there is no reporting requirements as long as we're bringing in less than $10K per year and remain unincorporated. The two big qualifications are:

    • we exist solely for a pleasure/recreational purpose
    • none of the funds we bring in are made available to any individual to use for personal purposes

    In that regard we should probably make sure going forward we're saving support for all of our expenses should we ever need them - the IPB and hosting stuff would be easy to retrieve but things like advertising, logos ect that might look like transfers to individuals could be more difficult. I can set up some better tracking for this. 

     

    The technically correct thing to do would probably be to write to CRA asking them to affirm not-for-profit status but I'm not sure what's involved with that or whether it could potentially lead to past exposure, but I would think we should fairly safe as long as we maintain the support that none of us are gaining anything from it personally.

    Good - this was kind of murky, a case could be made that any "profits" are still just transferred to league fund and used for operating expenses but don't think those margins were worth muddying the waters for. Plus we have lots of cash anyway.

    Yeah incorporation wouldnt be a good option for several reasons but mainly a minimum $1000-1500 per year in compliance fees

     

    I will try to double check the tax status of the donations in my work reference materials. 

    I imagine any reporting we did would be pretty simple but Im happy to help out with it, I am a CPA currently auditing and preparing financial statements for a living after all.

    So, this will probably come as a shock to most of you, but I haven't really been around much lately. I touched a bit on this when we announced Al as the newest Commissioner, which was 2 months ago, that I was going through some changes in my personal life that meant less time for the league. Initially, this was meant to be temporary, as I settled into a new phase in my career, hoping to return to full activity as a part of the Commissioner team in this great community that I've devoted thousands of hours to over the past decade and a half. However, after a couple of months, it's become clear that I will no longer be able to put in the time necessary to be a contributing member of the Commish team.

     

    It's been a wild ride, and I'll be forever grateful for the opportunity to be a part of the leadership in the VHL. Thank you to everyone I've interacted with for being part of the journey, and if I haven't interacted with you, thank you, as well, if for nothing other than being part of the league.
